No responses to my quandary so tried again today. Was able to
build/install on same platform against my 2.4.20 kernel but not against
2.6.5. Does anyone know why I would get no error but yet it fails to
build the .ko module?

You're missing the kqemu package itself. Grab it from Qemu website and
