I am having exactly the same issue, although it doesn't seem to be
related to any panel-stuff in my case. It appeared yesterday, probably
after installing updates from the last two weeks.
When attempting to shut down, nothing appears in /var/log/syslog, and no
new output is added to dmesg.

Today I ran an apt-get update on Ubuntu 12.04 and I noticed the file
/etc/default/grub was overwritten, so I lost all my tweaks.
This update involved a kernel update, which probably caused this problem.
I noticed that there are other people experiencing the same problem.

For the record, "Power/OS Power Management/ACPI S3 Hard Disk Reset: Enable" in
the BIOS Setup makes no difference whatsoever.
Ubuntu 10.04 LTS and Windows 7 on /dev/hda1 have been resuming from suspend
without issue on the same machine either way.
