This sounds very similar to the problem with not installing
poweron/poweroff/etc scripts described in bug #191776. That bug was
fixed in Intrepid. Can you still reproduce this issue under Lucid?

I disabled the poweron, poweroff, suspend, etc, scripts using the vmware-tool
utility and the vm stoped giving the error message.
I know this is not a real solution, but if someone is in need this could be a
good enough workaround.

Try installing the -virtual kernel flavor - that has the modules needed.
