With Optiplex 740, i've successfull install ubuntu 14.04 from livecd.
This is how :
No need to upgrade BIOS.
Create your boot live cd AND a boot live usbkey with the exact same
distribution.
And it woks for me.

I have this same hardware and that's still an issue even in ubuntu 14.04

I'm hopeless since I don't have a C state option under the Performance
menu on the BIOS setup, and could not add the mem=1G on the 14.04 live
image.

problem may be tracked, could you please file a new report with Ubuntu by
executing the following in a terminal while booted into the default Ubuntu
kernel (not a mainline one) via:
ubuntu-bug linux

masterlolo, this bug was reported a while ago and there hasn't been any
activity in it recently. We were wondering if this is still an issue?
Can you try with the latest development release of Ubuntu? ISO CD images
are available from http://cdimage.ubuntu.com/releases/ .
If it remains an issue,
Can you boot on the LiveCD without mem=1G and without the quiet and
splash options? This will print boot messages to the screen. If you
notice any error or warning messages, please report it here.
