format incorrectly.

There are general issues with running all-in-one setup in 10.04.
Additionally, I suspect that eucalyptus-nc is not running or operating
correctly as you wont' have kvm support in your vmware guest. At very
least you will have to configure the NC to run with qemu (non-
accelerated).
