I got the mysqld is alive message,
but mysqld command failed Can't open /etc/init.d/mysqld,
while stopping mysql gave the following output:
ad...@laptopi:~$ mysqladmin --defaults-file=/etc/mysql/debian.cnf ping -u root

I've tried to restart mysql:
ad...@laptopi:~$ sudo /etc/init.d/mysql restart
* Stopping MySQL database server mysqld [fail]
* Starting MySQL database server mysqld [ OK ]
but still :
invoke-rc.d: initscript mysql,

Can you try pinging / logging into the mysql server after you start it?
# mysqladmin --defaults-file=/etc/mysql/debian.cnf ping
mysqld is alive
And if so, then do
/bin/sh -x /etc/init.d/mysqld stop
And paste the output here?

It looks like the upgrade process is failing because it cannot stop
mysql properly.
Preparing to replace mysql-server-5.1 5.1.37-1ubuntu5.1 (using
.../mysql-server-5.1_5.1.37-1ubuntu5.5_i386.deb)
