Hi,
What this is saying is that you haven't backed up your iPad for two weeks or
longer. What you need to do is go into settings, then to iCloud and then to
back up. Here there will be a back up now. When you do this, your notification
will go away.

Unfortunately, as you've discovered, the wireless updating or ota
updating as it's known was only introduced in iOs5. I think you should
be ok; just double check that everything that you need is on your pc
