cash. My 2cents worth!! Jean

In our case if owner-financing wasn't an option, we weren't interested. The #1
question asked to be answered is how bad do you want to sell. That doesn't
apply just to being a WISPbut buying a house, a boat, a stake in
something...many things.

Some of us really like fire sells. Others of us will work really hard to make
a deal happen if someone really needs to sell. If you don't need to sell but
are just shopping, that's something entirely different.

I've read a few books on the matter and actually learned quite a bit from WISPA
shows on this topic.

Nothing like putting a few bites out there that you might be interested in
buying someone - so when they're actually tired of it - you're in a position to
start wheeling and dealing with them.,

Cash is king. And the borrower is servant to the lender. Just saying. It's
always better to just get it over with when you can.

On Mar 20, 2014, at 7:32 AM, Hass, Douglas A. d...@franczek.com wrote:

You and I are on the same page here.

The short answer to those on this list:

If your business attorney or CPA is telling you “Always do cash deals” or
“Never use seller financing,” then thank them for their time and find someone
else to advise you who is comfortable advising sellers on a full range of
options, guiding them to the best ones, and is including the right protections
for you.

The longer answer:

Here’s why we’re on the same page. The first question is not “Is the offer
100% cash?” but “Why am I selling?” The second question is “What do I want out
of the sale?” That’s what you’re doing below.

A couple people have expressed concern about getting the business back if
something goes wrong. There are many ways to structure that deal so as to
greatly minimize the time or expense of getting the business back, as I’ve
mentioned elsewhere.

Your concern is getting out entirely. There are many ways to structure that
deal. 100% cash is one way to do it. Another that I mentioned during the
course of this is through an annuity (which you have the option of selling to
get cash or keeping to get the higher payments, according to your risk
tolerance). You can do sweep accounts where the bank guarantees that you get
paid first as money comes in coupled with business insurance options. The deal
structure that might work best for you will depend first on your goals as a
seller, second on your buyer, and finally on your risk tolerance.

Saying “I’ll only take 100% cash” is definitely an option, and sometimes the
best one, but it’s never the only one. If you have an advisor locking you into
an all-cash deal, that’s a sign that he or she may not be the best advisor for
you. I’ll even bet that they’re probably missing things even in that all-cash
deal they’re drawing up for you.

If anyone here on the list ever wants some confidential guidance on how to
structure a deal, language to put in an agreement, or about sales/purchases
generally, I’m happy to help share what I can and get you pointed to the right
advisor (attorney, CPA, whoever) to help (and I’ll be happy to contribute to
the employment piece of whatever deal you do).

Doug

I had a meeting a couple weeks ago with a company looking to buy us. They have
deep pockets and were looking at cash only deal. If I'm looking to sell, it's
obviously because I want to go in a different direction. The last thing I'd
want to do is go through the enter sale process only to have to take the
company back at a later date. Even if I was able to get my company back
immediately months later with zero customer loss, the time, effort and lost
growth just aren't worth the risk in my opinion.

Re: [WISPA] WR ccu 3100

2007-10-06 Thread Ray Jean
Chris, I would have to check with the tech's, but I believe that is the same
one we are using. With the same problem. WR, said it was everything but the
unit, we ordered another one and doing the same thing. We have changed
everything at the site and it is still doing it. I will double check, they
are at the tower today, so I don't like to bother them when climbing. Maybe
we can get something done with WR (Vecima) if we stick together with the
same problem. That is a total of 5 units doing the same thing. Surely they
will have to help more than they have. All we have gotten is a runaround so
far.. Jean

We have been having a devil of a time with Waverider CCU 3100s. We have
had 3 new, out of the box ccu expereince the same problem: they broadcast
fine, associate all the EUMs, pass traffic fine. After a time spanning
anywhere from 2 to 24 hours they just die. They are still powered up,
but you cant access them remotely, they drop 90% of the eums (or
sometimes all. They have also stopped broadcasting completely a couple
times) All are configed the same, same cell site. WR suggests trying to
block UDP ports 1025-1030 as a fix. Anyone else seen this or have any
suggestions?

In general, we have had nothing but problems with the 3100s. We've had
them show SQ numbers off the charts, very low rna etc. When we swap an
old 3000 in they run just fine. Am I the only one that has a problem
with them?

Thanks

We now have 3 full time installer / techs. I am thinking we should
probably be selling Direc TV and Dish along with our wireless Internet.
Anyone else doing this? What is good or bad about this? How do I go
about becoming a dealer for these products? I have sales experience in
Cable TV industry. I used to sell to Motels and such for 3 states. I
know we could do this. I also want to do television for the motels

Welcome!

I have to ask, do you pronounce the name of your town PulaskE (like ski)
or

do you pronounce it PulaskI (like sky)?

I ask because there is a Pulaski County near me and they use the sky
version and I have no idea why.

introduction in their own words:

We have been an ISP since October 1999, starting out with just dial-up and
ISDN services. We seen the need for speed and then starting offering DSL
as

well. We were hesitant about going wireless because of the many hills and
trees in our area. We choose 900 MHz Waverider equipment for our first
second access point, for our third, fourth and fifth we are using Microtek
equipment. We also offer computer repairs and sales and services. We offer
web hosting design. We serve Giles County Tennessee. Heading toward
northern Alabama with our wireless services.
We try to provide the countryside with broadband wireless. So far they

Congratulations on the change of heart you've found in Walmart. Did you
happen to mention to them that you were posting complaints about their
system in the Broadband Reports Forums, or did they discover this
themselves? They must (or should) have a search appliance dedicated to
sniffing out the first malodorous whiffs of bad press.

Now it's time, as RickG suggests, for the good PR. This thread is a start,
as it's every bit as searchable as the forums!

[WISPA] Walmart RFID update

2007-03-14 Thread Ray Jean
Hello Everyone
Wanted to update you on our walmart rfid problem. We spent hours on monday
trying to talk to someone on their rfid deployment team,we finally made
contact. We were informed that it used the whole spectrum, had to run at full
power and used circular polarity. They stated they were operating within the
legal limits and could not change anything to help with our interference
problem.I ask if they could turn off their equipment for 30 days to give us a
chance to relocate to a new site. They agreed to two weeks which suprised
me.When they turned it off all of our links instantly went back to working
including the one inside their store at the eye doctors office. We start looking
for a new site and equipment to install on it.Well today walmart calls us and
say they want to work with us on the problem and they are sending a engineer to
this store to check for a possible rogue piece of equipment and possibly trying
to place some type of schielding between them and us IF we will QUIT posting
info about this problem on broadband reports forum.I am amazed that they
changed their whole attitude because of a little bad pr.Maybe we will be able
to find a solution to the problem now that they seem willing to cooperate.Again
thanks to everone who offered their advice on the situation.

[WISPA] walmart rfid

2007-03-11 Thread Ray Jean
Hello List
We have an interference problem come up this week that we have been unable to
resolve.Hopefully someone here has some input on how to resolve it.The problem
is walmart installed a rfid scanning system at there loading dock which
instantly raised the noise floor at our 900 mhz waverider access point by 20 db
which killed about 30 of our weakest links.this equipment is operating across
the whole band so there is no way to change channels and get away from it.The
walmart store manager says its not his problem and refuses to call the company
that installed it .I called the company which is adt security and they refuse
to do anything unless walmart request it.walmart home office will not return my
calls and the regional manager actually hung up on me and will not take calls
from us now.We have been very polite with them upto this point and gave them no
reason to act like jerks.Does anyone have any suggestions on how to resolve
this problem?

Re: [WISPA] walmart rfid

2007-03-11 Thread Ray Jean

Travis
Thanks for the input .that is a possible solution but not one that could be
implemented quickly or easily. It would require a new Hpol omni about $2200
a climb to install it and a trip to about 100 customers home to change their
eum antenna to h pol. This may be how it gets resolved but really all we need
to to do is have them turn the power down on their equipment which only
needs to reach 100 ft or the area of their loading dock.or drop to a 5or 10
mhz channel that is not on our freq of 918.4.It would be a simple problem to
resolve if we could get any cooperation from walmart.Any ideas on how how we
could create interference to their system to get their attention.I realize
this is not the proper way to resolve the problem but it might encourge them
to be better rf neighbors maybe.

Thanks

Hi,

You may want to try changing polarity and see if that helps. Often going
from vertical to horizontal will make a big difference.

Hey All
We really appreciate you taking the time to offer your ideas on how to
resolve our problem. We have decided that switching to Hpol and sectors will
be our fastest and cheapest way to resolve the issue which in the long run
is probally a good idea to avoid future problems. We may try some of the
legal and publicity suggestions that were mentioned, but in the short term it
looks like walmart wins.By the way we are located approx 2000 ft LOS from
their docks.again thanks for all the advice.

showing about 85% packet nomatches.does anyone have any idea what could be

Any input would be appreciated we
are stumped as to why all eums can be hearing these nomatch packets but not the

Well, as far what is necessary and what is not... Being a woman.. I'm
watching and taking care of 2 networks in 2 different cities 70 miles

house, cooking a meal. Watching TV. Had a T-1 go out in the furthest city..
None of this is possible without electricity.. So a candle, shooting a
rabbit, ugh!.. but they are 2 deer about 25 feet from my kitchen window.
Guess I could shoot one of them.

I maybe missing everyone's point.. but people will pay for what they get..

Do you suggest that everyone who is an American should (by some
