That document should help protect each party's interests with regards-to misappropriation of information and unfair trade practices while each side shares sensitive information and decides whether a purchase agreement is advisable. Your best bet, is to see your lawyer. Last time I had a lawyer draw me up a contract it was $500.00. I'm sure it could be cheaper, but it's one of those things thats hard to bid out.
