How to migrate current servers to Win2k AD?

I need help in planning the migration of our current NT4 servers to Win2k with AD. The current environment is three NT4 servers in a domain. The PDC is also the DHCP and WINS server, besides hosting the CRM application/DB. It also is the backup server for the network. The BDC runs Exchange 5.5, MS Proxy Server 2.0, IIS 4.0 and is the primary printer server. It also provides file-sharing services.

What is the best approach for upgrading the servers to Win2k? And how should I install AD?
