255.255.255.255 is a broadcast address. Presumably, your machine is trying to solicit a response from nearby DHCP servers. Is it on port 67 ?
I get the same thing from services.exe when I dial in to my ISP. Win2k thinks I've just established a new network connection, and attempts to get a new DHCP address for my modem interface.
