I was involved in a similar situation a few years ago and reviewed several software escrow options. My recommendation was they were all expensive ineffective terrible wastes of money. At the time they were also not designed for the concept of continuously updated software. (eg. you were supposed to deliver every "release" to them on cd). We followed Silvia's approach. The client had access to the codebase (with limited rights) if the business failed. We also argued at least one independent party had access to the codebase (a contractor).
