Nuppo. For a start W2K can run on VFAT, or NTFS. If you want file security
then you need NTFS. Anyway, I have a laptop that dual boots win98 and w2k
(both on the same partition), and linux. There were no problems at all...

Note that there is a HOWTO on how to do it right.
