Upgrades from RHEL5 to 6 are not supported by RedHat, so if you care about support (what I would suspect since you're paying for it) this is not an option for you. I would go for: install RHEL6 in parallel, take Spacewalk offline, install Spacewalk on RHEL6, restore Database to replacement Spacewalk on RHEL6, sync /var/satellite and phase out the RHEL5 server.
