Important Notice

As part of the installation process, you will be asked to accept the 
terms of 
this agreement. You are not required to accept this agreement. However, 
unless 
you have entered into a separate written license agreement with 
Macromedia 
Corporation providing otherwise, nothing else grants you permission to 
install,
 use, copy, or modify the Macromedia Spectra software or to develop and 
deploy 
Macromedia Spectra Applications. This agreement is a legal contract 
that specifies 
the terms of the license and warranty limitation between you and 
Macromedia 
Corporation for the software and related materials. You should 
carefully read
 the following terms and conditions before installing or using the 
software. 
Macromedia's willingness to license the software to you is expressly 
conditioned 
on your acceptance of all of the terms of this Software License 
Agreement.

UPON DOWNLOADING, INSTALLING OR USING ANY COPY OF THE SOFTWARE, YOU ARE 

CONFIRMING THAT YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF 
THIS AGREEMENT.

If you do not agree to these terms, promptly delete and destroy all 
copies 
of the software and related documentation in your possession.  Upon 
your 
prompt certification to Macromedia that you have not used the software 
and that 
you do not accept this license agreement and have deleted and destroyed 
all 
copies of the software and related documentation, your money will be 
refunded.  

Scope of this License Agreement

Macromedia Spectra is a packaged software system for building 
applications to 
run on Macromedia's ColdFusion� Server that incorporate content 
management, commerce 
and personalization. This license agreement grants you certain rights 
to install,
copy, and modify  the Macromedia Spectra software and to use the 
software to develop
and deploy Macromedia Spectra Applications in accordance with this 
Agreement.  The 
rights granted to you by this Agreement vary according to the type of  
license 
which applies to you and such rights are described below.  This 
Agreement does not 
grant you any distribution rights. Any distribution requires that you 
enter into 
a separate distribution agreement with Macromedia, and an agreement for 
such 
distribution is available through www.macromedia.com.

Please note that specific portions of the Macromedia Spectra Software 
and other
materials provided with the Macromedia Spectra software are subject to 
copyrights 
held by others and are subject to different license terms.  Please see 
the 
appropriate text files or other end-user documents for the license 
terms 
and conditions covering those portions.  

Macromedia Spectra Applications

A 'Macromedia Spectra Application' is any application that is based on 
or is a 
derivative work of Macromedia's Spectra ContentObject API, or COAPI, 
programming model. 
Macromedia Spectra Applications may include Macromedia Spectra software 
and Modifications 
(defined below). Unless you have entered into a separate written 
license agreement 
with Macromedia Corporation providing otherwise, your right to use, 
copy, modify and 
distribute your Macromedia Spectra Application is subject to this 
agreement.  

Macromedia Spectra Applications require the use of ColdFusion Server, 
Enterprise Edition.  
All rights granted under this agreement are expressly conditioned on 
you having a 
current license to ColdFusion Server. No license to ColdFusion Server 
software is 
included in this agreement, and you must obtain such license separately 
directly 
from Macromedia or through a Macromedia authorized reseller. You should 
be aware that ColdFusion 
server is licensed under terms and conditions that are different from 
the terms 
and conditions of this agreement.  

License Types

This agreement governs your installation, modification, copying and use 
of 
Macromedia Spectra for evaluation, training and research, your 
development and 
internal deployment of Macromedia Spectra Applications, and the 
commercial deployment 
of Macromedia Spectra Applications.  Please note that rights granted to 
you by this 
agreement vary according to which of these circumstances apply to you. 
Each of 
these circumstances is described below.  

Evaluation, Training and Research use refers to the use of Macromedia 
Spectra solely 
for(i) evaluation use for a period of 60 days or non-commercial 
personal individual 
use, (ii) the use by an educational institution and its enrolled 
students only in 
connection with that institution's course work and research activities, 
(iii) the 
purpose of providing training of the Macromedia Spectra software to 
your employees, 
or (iv) the purpose of creating Spectra Extensions (defined below).

Evaluation, Training and Research Use expressly excludes Development 
and Internal Deployment 
and Commercial Deployment.  

Development and Internal Deployment use refers to your use of the 
Macromedia Spectra 
software for the development of any Macromedia Spectra Application by 
you and your 
employees and agents, or for the deployment of any Macromedia Spectra 
Application  but 
only in conjunction with your business, products or services.  Use of 
Macromedia Spectra 
software and Macromedia Spectra Applications for Development and 
Internal Deployment 
requires payment of the currently applicable license fee.  

Commercial Deployment use refers to the commercial hosting of 
Macromedia Spectra 
Applications; that is, your use of Macromedia Spectra for the 
deployment of any Macromedia 
Spectra Application for use by any one or more third parties in 
conjunction with its 
business, products or services. Commercial Deployment use does not 
include development of 
a Macromedia Spectra Application by one party to be transferred in 
accordance with this 
agreement to another for deployment, where each party has its own 
license for Development 
and Internal Deployment use. Use of Macromedia Spectra software and 
Macromedia Spectra 
Applications for Commercial Deployment requires payment of currently 
applicable license 
fee and execution of a Macromedia Spectra Commercial Deployment 
license.

covered by this 
agreement, please contact Macromedia sales through the means described 
at www.macromedia.com. 

Source Materials

Macromedia Spectra includes both Source and non-Source Materials.  This 
agreement includes a 
license to modify the Source Materials included with Macromedia 
Spectra.  As used in this 
agreement, the term 'Source Materials' refers only to that portion of 
the software, documentation 
and other materials included in Macromedia Spectra Software that are 
identified as Source Materials.  
The term 'non-Source Materials' means any other materials included in 
or provided 
with the Macromedia Spectra Software. As used in this Agreement, the 
term 'Modification' 
refers to any modification of the Macromedia Spectra software. 
Modifications to Source Materials 
are derivative works based on Macromedia Spectra.  Unless you have 
entered into a separate written 
license agreement with Macromedia Corporation providing otherwise, your 
right to copy, modify 
and distribute your Modifications is subject to this agreement.  

Macromedia publishes and maintains a Compliance Specification for 
Modifications to Macromedia Spectra 
Source Materials. The most current version of the Compliance 
Specification is available from 
www.macromedia.com.  Modifications which cause the Source or non-Source 
Materials to become in any 
way non-compliant with the current Compliance Specification are 
referred to as non-Compliant 
Modifications.  Modifications which do not cause non-compliance are 
referred to as Compliant 
Modifications. Any Modification is presumed to be non-Compliant unless 
you demonstrate to 
Macromedia's reasonable satisfaction that it is a Compliant 
Modification. Please note that a 
non-Compliant Modification voids your warranty rights and modifies 
other important rights 
under this agreement. In addition, non-Compliant Modifications are not 
likely to be compatible 
with or easily upgradable to future versions of Macromedia Spectra.

Spectra Extensions

'Spectra Extensions' are programming code and/or interfaces developed 
by or for you which:  
(i) are designed for use with the Macromedia Spectra software or any 
Modification or Macromedia 
Spectra Application; (ii) constitute an API for computing functions or 
services; and 
(iii) are made available to third party software developers for the 
purpose of developing 
Macromedia Spectra Applications that invoke such functions or services. 
This agreement governs the 
conditions and manner in which Spectra Extensions may refer to 
Macromedia Spectra.  This 
agreement grants no right to distribute any Macromedia Spectra 
software, Modification or 
Macromedia Spectra Application with a Spectra Extension.  

Rights to Copy, Install and Use

Evaluation, Training and Research

Macromedia grants to you the non-exclusive, non-transferable right to 
copy and install 
the Macromedia Spectra software, to modify the Source Materials in 
accordance with this 
agreement and to use the Macromedia Spectra software and Modifications 
made in accordance 
with this Agreement to develop Macromedia Spectra Applications and 
Spectra Extensions 
solely for Evaluation, Training and Research. The number of copies 
which you may make, 
install and use for such purpose is not limited, but you agree that you 
are solely 
responsible for all expenses incurred in connection with copying and 
installing 
the Macromedia Spectra software.  

Development and Internal Deployment

Subject to the payment of applicable fees, Macromedia grants to you the 
non-exclusive, 
non-transferable right to install the Macromedia Spectra software on a 
single physical 
server or workstation, to modify the Source Materials in accordance 
with this agreement 
and to use the Macromedia Spectra software and any Modifications made 
in accordance with 
this Agreement to develop Macromedia Spectra Applications and Spectra 
Extensions solely 
for Development and Internal Deployment. The number of copies you may 
make is limited
to the number reasonably necessary for backup and archival purposes.  
If you 
wish to install the Macromedia Spectra software on multiple physical

Commercial Deployment

Subject to your execution of a Commercial Deployment license and 
payment of 
applicable fees, Macromedia grants to you the non-exclusive, 
non-transferable right 
to install  and use the Macromedia Spectra software, Modifications and 
Macromedia 
Spectra Applications for Commercial Deployment in accordance with the 
Commercial 
Deployment license.  The number of copies you may make and install, the 
number 
of physical servers permitted and the number of users who may access 
your 
Macromedia Spectra Applications is as specified in the Commercial 
Deployment license. 

A license for Commercial Deployment grants no rights to copy or 
distribute 
Macromedia Spectra Software, Modifications or Macromedia Spectra 
Applications to 
third parties.  Any commercial distribution of Macromedia Spectra 
Software, Modifications 
or Macromedia Spectra Applications requires that you enter into a 
separate OEM, 
reseller or distributor agreement with Macromedia. 

Right to Modify Source Materials

Macromedia grants to you the non-exclusive, non-transferable right to 
modify and prepare 
derivative works of the Source Materials, provided that all of the 
conditions set 
forth below in this paragraph are met.  Each copy of your Modification 
must include, and you may not modify or obscure, any copyright notice 
or other 
restrictive or proprietary notification included in the Macromedia 
Spectra software.  
Each copy of your Modification must include a file documenting the 
additions 
and changes you made and the date of such additions and changes. You 
must also 
include a prominent notice in the header of modified files that you 
have 
changed the Source Materials and the date of any change.  If it is not 
possible 
to put the notice in a particular source code file, then you must 
include the 
notice in a location (such as a relevant directory file), where a 
recipient 
would be likely to look for such a notice.  You acknowledge that (i) 
Modifications 
which comply with the above conditions, although permitted under this 
Agreement, 
are presumed to be non-Compliant unless and until you demonstrate to 
Macromedia's 
reasonable satisfaction that it is a Compliant Modification, and (ii) 
a non-Compliant Modification voids your warranty rights and modifies 
other 
important rights under this agreement. 

Transfers

Macromedia Spectra Software

Subject to your transferee's agreement in writing to be bound by the 
terms of 
this Agreement, you may permanently transfer all of your rights to the 
Macromedia 
Spectra software by transferring all media, upgrades and related 
documentation 
together with this Agreement. You may retain no copies of any of the 
Macromedia 
Spectra software or related documentation. If the software and related 
documentation 
is an upgrade to an earlier licensed release of the software, any 
transfer 
must include all prior releases of the software and documentation.

Modifications and Macromedia Spectra Applications

You may permanently transfer your Modifications and Macromedia Spectra 
Applications 
developed under an Evaluation, Training and Research license or a 
Development 
and Internal Deployment use license to another party for deployment 
without 
transferring your rights to the Macromedia Spectra Software, provided 
that your 
retain no copies of your Modification or Macromedia Spectra Application 
and your 
transferee has its own license for Development and Internal Deployment 
or 
Commercial Deployment use. As a condition to any transfer, you agree to 
defend, 
and indemnify and hold harmless Macromedia from any loss, damage or 
expenses 
(including reasonable attorney's fees) incurred in connection with, any 

claim, demand or action to the extent it is based on any Modification 
or 
Macromedia Spectra Application developed by you, or any Modification or 
Macromedia 
Spectra Application used by you for Internal or Commercial Deployment, 
or on 
any action or representation or statement made by you or your agent.   

Distribution of multiple copies of a Modification or Macromedia Spectra 
Application 
requires that you enter into a separate agreement with Macromedia, even 
where you 
do not distribute Macromedia Spectra software and no fee is payable to 
Macromedia.  An 
agreement for such distribution is electronically available through 
www.macromedia.com. 

Use of Macromedia Spectra and Related Marks 

This Agreement does not authorize you to use Macromedia's name or any 
of its 
trademarks, including Macromedia Spectra. Use of any Macromedia 
trademark in 
connection with any Modification, Macromedia Spectra Application or 
Spectra 
Extension, including any reference to a Macromedia mark for the purpose 
of 
asserting compatibility with Macromedia Spectra or conformity with the 
Compliance 
Specification, is governed by Macromedia's then current Macromedia 
Spectra Trademark 
& Logo Usage Requirements, accessible through www.macromedia.com. You 
agree to 
strictly comply with these requirements. You agree not to (i) challenge 

Macromedia's ownership or use of its trademarks; (ii) attempt to 
register 
any Macromedia trademark, or any mark or logo substantially similar 
thereto; 
or (iii) incorporate any Macromedia trademarks into your own 
trademarks, product 
names, service marks, company names, or domain names.

You agree to avoid giving your Modification, Macromedia Spectra 
Application 
or Spectra Extension any name that is likely to create the impression 
that 
it originated from or is specifically approved by Macromedia. You agree 
to 
refrain from enforcing any intellectual property right you may have 
covering 
any interface to your Spectra Extension, which would prevent the 
implementation 
of such interface by Macromedia or any Macromedia Spectra licensee. 
This obligation 
does not prevent you from enforcing any right you have that would 
otherwise 
be infringed by an implementation of your Spectra Extension. 

No Additional Rights or Licenses

You acknowledge and agree that except for the rights granted in this 
agreement, 
all other rights, and all title and interest in and to the software 
(as an independent work and as an underlying work serving as a basis 
for 
any Modification or Macromedia Spectra Application you may develop) and 
related 
documentation remain the sole and exclusive property of Macromedia or 
its 
licensors, including all patent, copyright, trade secret, trademark and 

other proprietary rights therein, and that you will not derive or 
assert 
any title or interest in or to the Macromedia Spectra Software or 
related documentation.  
Without limiting the generality of the foregoing, you do not receive 
any 
rights to any patents, copyrights, tradesecrets, trademarks or other 
intellectual property rights to the Macromedia Spectra Software or 
related 
documentation.  Except as expressly provided by this agreement, you may 

not modify or translate any software or related documentation, or 
decompile, 
disassemble or reverse engineer any software or documentation. You may 
not modify, obscure or remove any trademark, logo, copyright or other 
proprietary notices, legends, symbols or labels in the software.

Multiple Media and Upgrades

You may receive the software and related documentation in more than 
one medium.  Regardless of the number of media you receive, 
you may use only the medium that is appropriate for the server on which 

the software is to be installed.  You may not install, use or transfer 
the other media, except as part of a permanent transfer of your 
licensed 
copy of the software and related documentation as set forth in this 
Agreement.  

If the software and related documentation are provided as an upgrade 
patch 
or update to an earlier licensed release of the software, then you must 
have 
a valid license to operate such earlier release of the same version and 

edition as the upgrade to install or use the upgrade.  All software 
being upgraded is deemed to be part of the software and is subject to 
this Agreement.  You may transfer an upgrade only in conjunction and 
together with the licensed software being upgraded.

Term and Termination

The licenses granted under this agreement will continue until the 
agreement is terminated.  Macromedia may terminate this agreement if 
you fail to comply with any term and fail to cure your non-compliance 
within 30 days of notification. Upon the termination of a license 
for any reason, you must promptly return to Macromedia or destroy all 
copies of the software and related documentation covered 
by the license.

Warranty and Remedies

MACROMEDIA PROVIDES NO REMEDIES OR WARRANTIES, WHETHER EXPRESS OR 
IMPLIED, FOR ANY COPY OF MACROMEDIA SPECTRA SOFTWARE USED FOR 
EVALUATION, 
TRAINING AND RESEARCH, FOR ANY COPY OF MACROMEDIA SPECTRA SOFTWARE 
TO WHICH A NON-COMPLIANT MODIFICATION HAS BEEN MADE, OR FOR ANY 
MODIFICATION OR MACROMEDIA SPECTRA APPLICATION BASED ON THE MACROMEDIA 
SPECTRA SOFTWARE. MACROMEDIA SPECTRA SOFTWARE USED FOR EVALUATION, 
TRAINING AND RESEARCH OR TO WHICH A NON-COMPLIANT MODIFICATION HAS 
BEEN MADE AND ALL ACCOMPANYING DOCUMENTATION ARE PROVIDED 'AS IS.' 

For Macromedia Spectra Software licensed for Development and Internal 
Deployment or for Commercial Deployment, Macromedia warrants that 
the physical media and the documentation will be free from defects 
in materials and workmanship under normal use for 90 days from 
the date of delivery to you.  Macromedia also warrants that software 
licensed for these uses will be free from significant defects 
that prevent the software from performing substantially in the manner 
described in the applicable user manual for a period of 90 
days from the date of delivery to you.  At Macromedia's option, 
provided 
that any non-compliance with the above warranty is reported 
in writing to Macromedia  no more than ninety (90) days following 
delivery 
to you,, Macromedia will (i)  replace defective media or documentation, 
as 
the case may be, (ii)  use reasonable efforts to correct significant 
defects in the software without charge, or (iii)  refund the licensee 
fee paid to Macromedia for the applicable copy of the software in 
exchange 
for termination of all licenses granted to you for such copy.  Any 
replacement software will be warranted for the remainder of the 
original warranty 
period or 30 days, whichever is longer. THESE REMEDIES ARE THE SOLE 
AND EXCLUSIVE REMEDIES AVAILABLE TO YOU FOR BREACH OF EXPRESS 
OR IMPLIED WARRANTIES WITH RESPECT TO THE MACROMEDIA SPECTRA SOFTWARE 
AND RELATED DOCUMENTATION. 

THE FOREGOING WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, 
REPRESENTATIONS, 
PROMISES OR GUARANTEES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, 
INCLUDING 
BUT NOT LIMITED TO ANY WARRANTY OF NON-INFRINGEMENT, MERCHANTABILITY OR 

FITNESS FOR A PARTICULAR PURPOSE.  By way of example, without 
limitation, 
Macromedia provides no warranties of any kind to any end-users 
accessing or otherwise 
using Modifications, Macromedia Spectra Applications or Spectra 
Extensions 
developed or otherwise obtained by you.

 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES SO 
THE 
WARRANTY LANGUAGE ABOVE MAY NOT APPLY TO YOU.  IN SUCH CASE, 
MACROMEDIA'S LIABILITIES 
SHALL BE LIMITED BY THE PROVISION BELOW ENTITLED 'LIMITATION ON 
LIABILITY.'

The warranties do not cover damage or defects caused by or related to 
misuse, 
modification, accident, negligence or misapplication.  Because programs 
such 
as this are inherently complex, Macromedia does not warrant that the 
software is 
error-free or will operate without interruption.  Furthermore, 
Macromedia does 
not warrant that the software will work with any given database, 
network 
or network application. 

The software is not designed or licensed for use in hazardous 
environments 
requiring fail-safe controls, including without limitation operation of 

nuclear facilities, aircraft navigation or communication systems, air 
traffic control, and life support or weapons systems.  Macromedia 
specifically 
disclaims any express or implied warranty of fitness for such purposes.

You acknowledge that due to the complexity of the software, it is 
possible 
that use of the software could lead to the unintentional loss or 
corruption of data.  You assume all risks of such data loss or 
corruption; 
the warranties provided in this Agreement do not cover any damages or 
losses resulting from data loss or corruption.

Limitation on Liability

IN NO CASE SHALL MACROMEDIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, 
SPECIAL, 
PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES OR LOSS, INCLUDING, WITHOUT 
LIMITATION, 
LOST PROFITS OR THE INABILITY TO USE EQUIPMENT OR ACCESS DATA, WHETHER 
SUCH 
DAMAGES ARE BASED UPON A BREACH OF EXPRESS OR IMPLIED WARRANTIES, 
BREACH OF 
CONTRACT, NEGLIGENCE, STRICT TORT, OR ANY OTHER LEGAL THEORY.  THIS IS 
TRUE 
EVEN IF MACROMEDIA IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN 
NO CASE WILL 
MACROMEDIA'S LIABILITY EXCEED THE AMOUNT OF THE LICENSE FEE ACTUALLY 
PAID BY YOU 
TO MACROMEDIA. 

This limitation on liability, and the disclaimers of warranties 
contained 
in the previous section, inure to the benefit of 
Macromedia's licensors.

U.S. Government Licensing Rights; Notification of Export Restriction

If the software is licensed under a U.S. Government contract, you 
acknowledge 
that the software and related documentation are 'commercial items,' as 
defined in 48 C.F.R 2.01, consisting of 'commercial computer software' 
and 'commercial computer software documentation,' as such terms are 
used 
in 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1.  You also acknowledge 
that 
the software is 'commercial computer software' as defined in 48 C.F.R. 
252.227-7014(a)(1).  U.S. Government agencies and entities and others 
acquiring under a U.S. Government contract shall have only those 
rights, 
and shall be subject to all restrictions, set forth in this Agreement.

You agree to comply with all export and re-export restrictions and 
regulations imposed by the government of the United States and to abide 

by the terms of the following notice, if such notice appears in or on 
the packaging for the software, and you agree not to remove such notice 

from the software.

 IMPORTANT NOTICE: THIS SOFTWARE OR ANY UNDERLYING INFORMATION OR ANY 
UNDERLYING TECHNOLOGY MAY NOT BE DOWNLOADED, DISTRIBUTED OR OTHERWISE 
EXPORTED OR RE-EXPORTED OUTSIDE THE UNITED STATES (OR CANADA) OR TO ANY 

FOREIGN ENTITY OR FOREIGN PERSON  AS DEFINED BY U.S. GOVERNMENT 
REGULATIONS, 
INCLUDING WITHOUT LIMITATION ANYONE WHO IS NOT A CITIZEN, NATIONAL, OR
LAWFUL PERMANENT RESIDENT OF THE UNITED STATES (OR CANADA), OR TO 
ANYONE 
ON THE U.S. TREASURY DEPARTMENT'S LIST OF SPECIALLY DESIGNATED 
NATIONALS 
OR ON THE U.S. COMMERCE DEPARTMENT'S TABLE OF DENIAL ORDERS OR ENTITY

DOWNLOADING OR USING THIS SOFTWARE, YOU AND YOUR COMPANY ARE AGREEING

ARE NOT A FOREIGN PERSON OR FOREIGN ENTITY (OTHER THAN A CANADIAN 
PERSON 
OR CANADIAN ENTITY) OR UNDER THE CONTROL OF A FOREIGN PERSON OR FOREIGN 

ENTITY (OTHER THAN A CANADIAN PERSON OR CANADIAN ENTITY).

Sybase SQL Anywhere Studio

The Macromedia Spectra software contains components of the Sybase SQL 
Anywhere Studio (the 'Sybase Datastore') from Sybase Corporation.  The 
Sybase Datastore is included with Macromedia Spectra solely to provide 
a 
datastore upon initial installation and for preliminary application 
development and testing. As included in Macromedia Spectra, the Sybase 
Datastore is not appropriate for internal or commercial deployment, 
or for the development and testing of Spectra Applications of 
significant 
scope.  For these purposes you should use an appropriate alternative 
database product. Please note Sybase severely restricts your use of 
Sybase Datastore.  These additional restrictions, which do not apply 
to other portions of Macromedia Spectra, are set forth in this 
paragraph: 
(1) The Sybase Datastore  may not be used by more than 5 concurrent 
users at any one time;  (2) the Sybase Datastore may only be used as 
part of the Macromedia Spectra software and only for application 
development 
and testing, but may not be used for any type of deployment (regardless 

of the type of license you have obtained under this Agreement); (3) 
you may not copy the Sybase SQL Anywhere Studio, except for inactive 
backup and archival purposes only, and you must include on all 
copies of the Sybase SQL Anywhere Studio all copyright, government 
restricted rights and other proprietary notices or legends included 
on the Sybase SQL Anywhere Studio program when it was shipped to you; 
(4) only object code versions of the Sybase SQL Anywhere Studio 
programs are licensed to you and reverse engineering, disassembly or 
decompilation to derive source code is prohibited (except to the extent 

expressly allowed under applicable law; (5) evaluation copies of Sybase 

SQL Anywhere Studio may not be used for longer than 60 days and may 
not be used for any commercial development, support or for any 
deployment 
or ultimate production purposes; and  (6) if any Sybase SQL Anywhere 
Studio license is provided to U.S. government licensee, use, 
duplication 
or disclosure of the software and documentation by the U.S. Government 
shall be provided subject to terms and conditions consistent with this 
Agreement 
and any applicable FAR provisions. Please note that as a result of the 
foregoing restrictions, the Sybase Datastore can not be used if you 
have 
obtained an Evaluation, Training and Research License, except for 
evaluation purposes during the 60 day evaluation period. For terms 
and conditions for using Sybase Products for development or deployment 
not permitted by this paragraph, you may contact Sybase (1-800-8SYBASE) 

dor an authorized Sybase reseller. 

Netegrity SiteMinder Advanced Security

You and your applications may not: (i) access Netegrity's Policy 
Management 
API or Agent API other than through (a) ColdFusion tags and functions, 
or 
(b) Macromedia Spectra tags and functions that call or incorporate the 
ColdFusion 
tags or functions; (ii) access Netegrity's Policy Management API other 
than through the Webtop user interface of Macromedia Spectra; or (iii) 
access 
any encoded tags other than from within the context of the Webtop user 
interface 
of Macromedia Spectra.

Miscellaneous

The internal laws of the Commonwealth of Massachusetts shall control 
this 
Agreement if you are located anywhere other than Canada.  The internal 
laws of the Province of Ontario shall control if you are located in 
Canada.  
In each case this Agreement shall be construed and enforced without 
regard 
to the United Nations Convention on the International Sale of Goods 
and will be deemed a contract under seal.  

This Agreement is the complete agreement between you and Macromedia 
concerning the software and related documentation and supersedes all 
proposals, oral or written, all discussions between the parties 
relating to the subject matter of this Agreement.  The failure or 
delay of Macromedia to exercise any of its rights under this Agreement 
or upon any breach of this Agreement shall not be deemed a waiver of 
those rights or of the breach. 

You agree to defend, and indemnify and hold harmless Macromedia from 
any 
loss, damage or expenses (including reasonable attorney's fees) 
incurred 
in connection with, any claim, demand or action to the extent it is 
based 
on any Modification or Macromedia Spectra Application developed by you, 
or 
based on any Modification or Macromedia Spectra Application used by 
you for Internal or Commercial Deployment.

No Macromedia dealer, agent or employee is authorized to make any 
amendment 
to this Agreement.  If any provision of this Agreement shall be held by 
a 
court of competent jurisdiction to be contrary to law, that provision 
will 
be enforced to the maximum extent permissible, and the remaining 
provisions 
of this Agreement will remain in full force and effect.  

This Agreement inures to the benefit of Macromedia's licensors.
