Now is ok, you need add "ulimit -n 65536' in you squid startup script.

  My system is Ubuntu 12.04.1 LTS, it is ok running the squid (V3.1.19) comes 
with the OS, but it is not ok when I use the squid (V3.2.5) compiled from 
source,
Follow is the configure:
