Practically, yes. SM 2.1 will read it once initially and import its contents into places.sqlite. It will use that file then and stop using or updating bookmarks.html. If however you go to about:config, create a boolean pref called browser.bookmarks.autoExportHTML and set it to true, SM 2.1 will again write bookmarks.html, but only upon exit.
