Directs and supports all contract third party vendor negotiations within the
IM Procurement scope. Leads the procurement process for  ConvaTec IM. Sets
procurement standards for IM. Facilitates the definition of terms for
ConvaTec’s business, commercial, legal, and technical requirements.

*Responsibilities*

•        Establishes ConvaTec IM’s procurement standards and policies

•        Establishes ConvaTec IM’s procurement process

•        Guides ConvaTec IM through IM procurement

•        Procures software, services,  Telecom,  and hardware for ConvaTec

•        Negotiates commercial terms within vendor agreements

•        Facilitates business and technical terms with ConvaTec IM resources

•        Facilitates legal terms with ConvaTec Legal and/or external counsel

•        Facilitates discussions and negotiations to closure of agreements

•        Develops RFx processes and policies

•        Manages RFx benchmarking for procurement solutions.

•        Manages issue management process internally and with vendors

•        Facilitates the resolution of all contract related issues

•        Facilitates completion of the contract review and approval form
(CRAF)

•        Working with EDS Counterparts, responsible for managing Asset
Management function related to listed Procurement Commodities.

•        Coordinates PR/PO Procurement actions via SAP / Ariba

•        Provides interpretation and clarification of elements of the
contract.  As required, consults with or employs ConvaTec Legal Counsel to
assist with or provide final contract interpretations.

•        Establishes and maintains mechanisms to track completion or
adherence to all contract deliverables and obligations – both ConvaTec and
Service Provider.

•        Advises on escalated disputes that may arise with multiple vendors.

•        Ensures consistent language across responsible ConvaTec IM
Agreements.

•        Maintains the currency of the official ConvaTec copy of the
contracts and associated exhibits & schedules.

•        Reviews and provides contractual advice on project proposals and
associated business cases.

Provides for other functions as defined by the Manager, IM Contracts,
Licensing & Finance.

*Experience & Education*

§        4 – 7 years of experience negotiating software, hardware, Telecom.
and IT services agreements

§        Demonstrated understanding of legal contracts

§        Administrative and project management experience

§        SAP Procurement experience desirable.

§        Certified Purchasing Manager (CPM) desirable.

§        Strong Excel User

§        Experience working in a lead role with Mergers & Acquisitions and
the related consolidation / rationalization of Contracting
