You might have a bad NE2000 clone?  Try booting with a reserve parm on the
boot prompt excluding 0x300 as described in the bootprompt howto and in
the ethernet howto.  It is on my to do list to figure out a better fix
for the bad NE2000 clones, but this will probably work.  I think it is:

 boot: zImage reserve=0x300,16

try that.  An alternative is something like:

 boot: zImage ether=0,0x300,eth0

instead or in conjunction with the first option.
