As an individual member...I am grateful to those who put the charter
together.  A few comments follow...

Article 2, 1st bullet...

Consider substituting the word "Vendor" with "Supplier" as the
former moniker has a somewhat pejorative connotation.

Section 4...

Change to....Members who do not renew their membership...in a timely
manner risk termination.

Section 5...Termination of Membership

In the name of positive spin...This section would do better to
appear at the end of the document.

The Board may remove anyone..."without cause".

Why would the Board want to remove someone if there were no cause?
Consider dropping "without cause".

Article IV...Line 4

Change "Vendor" to "Supplier"

Section 6...Paragraph 6

"Incorrect votes will not be counted."

This appears to be a silly statement... Consider dropping it.

Section 8...Paragraph 2

The board "must" act.   What if they do not?   Will the sky fall in?

Consider changing "must" to... "is required to".
