I had the same problem when I used module-assistant: debian/control is not found. So after the error message, I copied /usr/src/modules/vmware- player-kernel/debian/control.modules.in to /usr/src/modules/vmware- player-kernel/debian/control and ran module-assistant again, and it worked. The only problem is that the .deb file that is created depends on linux-image-2.6.15.7-ubuntu1-custom, but I have the package kernel- image-2.6.15.7-ubuntu1-custom instead. I forced it to install but now synaptic won't update other packages because it sees the vmware deb as a broken package. But at least vmplayer works fine now.
