Hallo, I have an Athlon64 3200 on an Asus K8-VX motherboard. I was experiencing all the same issues described above.
Booting with pci=off works, but the system is basically useless. What worked for me was disabling APM, Cool&Quiet and ACPI 2.0 in the motherboard's BIOS.
