I had this pop up a couple times win 9.10, and it was usually fixed with
a reboot. Just had it crop up again in 10.04 and no amount of rebooting
fixed. I had to create a launcher on the desktop to run gnome-panel.

Woke up turned on computer, walked out of the room
Came back a couple min later. No panels and the "Theme" was wrong.
CTRL-ALT-F1 to the console and did a sudo shutdown -r now
Rebooted with the correct "theme" but still no panels.
rebooted a couple more times, with no luck
Found http://ubuntuforums.org/showthread.php?t=875887 after adding a 
google-chrome launcher
started gnome-panel, got my panels back and added gnome-panel to the list
found this.
