I too had this issue and followed a kill all gnome-panels, recreate the panel approach I had seen as a "fix" in another post. This DID work but as soon as I added the "Indicator Applet Session" item in my new panel I had the 's' key problem again. Removing just that item from the gnome- panel fixed my 's' key opening the 'shutdown' menu problem.
