Thank you for taking the time to report this bug and helping to make
Ubuntu better. While we appreciate the difficulties you are facing, it
seems that mysqld is taking to much time to properly shutdown given the
number of databases configured.
What is the actual error message printed while trying to upgrade?

mysql 5.1 don't want to shut down properly, crashes upgrades. Besides that,
works like charm.
