It does ask you to upgrade a 11.04 install to 11.04.  I just did it from
32 bit to 64 bit and it didn't boot up afterwards.  It turns out I had
the linux-generic-pae (32 bit) kernel package installed which it thinks
is newer then the linux-generic (64 bit) package..

After manually changing that, (it appears I will have to manually remove
the linux-generic pae kernel as well)  everything seems to be working
fine.  (Although none of my apps were transitioned)
