This is a known issue with the 3.0.0 kernel:


/var/lib/dkms/open-vm-tools/2011.03.28/build/vsock/linux/af_vsock.c:105:28: 
fatal error: linux/smp_lock.h: No such file or directory

There is a patch available here:

Note that 2.6.39 was renamed to 3.0.0

I don't know that this will be fixable in -updates, though it may be
doable with a back port of the latest version from Oneiric.

You may want to try downloading the source package from oneiric and
building it on your system, or you can probably download the driver from
VMware too.

Marking as Fix Released, as the version in Oneiric builds against kernel
3.0.0. Opening task against natty, marked as Won't Fix, since 3.0.0
isn't officially supported on Natty.
