I had a similar problem on upgrading to 12.04 beta2. The upgrade process
was blocked on "flashplugin-installer: downloading...", but in my case
the download seems that was not started (also if network was available).

CTRL+C was not working. I had to reboot the machine, and then finish
upgrade with "sudo dpkg --configure -a" (not really a good thing!).

I think that something should be done to avoid these problems with
flashplugin-installer...
