This error-message is usually due to another program that is also trying to use the APT-system. One possible reason for this is that you tried to run update-manager and another package management application at the same time. Another possible reason is that you had really bad luck and tried to start update-manager just when your system was running an automated update of your package lists. Please try to logout of all running sessions and try to run the upgrade again and reply in comment if this fixed the problem or not.
