Triaged this bug and consolidated five other reports as duplicates: bug #2095232, bug #2116208, bug #2142961, bug #2143656, bug #2143782, and bug #2139330. The bug report spans three different upgrade paths (20.04 to 22.04, 22.04 to 24.04, 23.04 to 24.04)
The common underlying behavior, visible in the debug log of duplicate bug #2095232 comment #0, is: the upgrader fails to mark ubuntu-desktop (or another desktop meta-package) for upgrade because of held broken packages, then tries to remove update-manager as part of conflict resolution, and hits the denylist regex update-manager$ in /usr/share/ubuntu-release-upgrader/removal_denylist.cfg, which causes a hard upgrader failure with a misleading error message.
