I had this problem on a fresh install of 7.04. The problem was that it wanted to use <us.archive.ubuntu.com> regardless of what I set in sources.list. I added the following to /etc/hosts as a workaround:
91.189.88.46 us.archive.ubuntu.com as per: <https://help.ubuntu.com/community/UpgradeProblems> If you are not in the US, just replace the URL with the one you are having problems with. This points <us.archive.ubuntu.com> to <archive.ubuntu.com> (feel free to double check the IP by running "host archive.ubuntu.com" at the command line or doing what it says in the "UpgradeProblems" URL).
