Well, I think you want to remove the 386 kernel image and use the

To do so, install linux-image-generic and remove linux-image-386 (and its 
Depends: linux-image-2.6.24-12-386, linux-ubuntu-modules-2.6.24-12-386).
Then you should install virtualbox-ose-modules-generic instead of 
virtualbox-ose-modules-386.

Of course, you can have both variants of the kernel being installed, but
you should make sure that the modules are installed also (through the
linux-image-X meta package) and that the better image is selected during
boot in Grub (generic).

I'm leaving this bug open, because I want to check what can be done to improve 
the upgrade experience: E.g., if there's a generic kernel module installed in 
Gutsy, it should install virtualbox-ose-modules-generic.
E.g., "dpkg -l | grep virtualbox-ose-modules | grep -- -generic" => 
virtualbox-ose-modules-generic.

Gutsy only has modules for the generic and server variants, so this
should be quite simple and needs to be added to update-manager.
