After some testing, I found that the problem is actually not in VLC but in ffmpeg. Default version of ffmpeg in Hardy (3:0.cvs20070307-5ubuntu7: amd64 i386) does not transcode correctly the audio. I installed an optimized version of ffmpeg (from: http://skulboxx.com/Ubuntu/sbx/) and both ffmpeg and VLC now transcode the audio correctly. I will file a bug for ffmpeg.
