Found a solution:
Remove /etc/modprobe.d/soundcard

I tried to modprobe the snd-es18xx module, but i added the -v switch and saw 
that modprobe added yet some parameters, so i guessed they must come from 
somewhere and askd grep to look into /etc, and there it was in 
/etc/modprobe.d/soundcard
I asked dpkg -S if it knew to whom it belong, but no (can't remember haw to ask 
for config files)
So i moved the file out of way, tried to reboot (even a reboot with a real 
power off)
And now it work fine, and no complaints in dmesg.

My gues is that the soundcard file is a leftover from upgrading from
earlier ubuntu (second upgrade on this machine)
