I think your dhcp is not configured correcly. the client rejects the packets, 
because there is not a link where he can
find the tftpserver/tftpfile. plz check this options at your dhcpserver. When 
you have windowsserver, you can use 
the tftp-demon from http://tftpd32.jounin.net/. its easy to configure and it 
simply works :).  i had less problems with 
this, than with the "windows-dhcp".
