I do understand, that device names will obviously be changed. I am probably not 
be able even to boot. 
Are there any tools that are more intellectual? Or should I convert into some 
intermediate format like OVA/OVF ?

Hi, qemu-img can convert VHD and QCOW2 to VMDK.  It's a "dumb"
conversion only, though, and won't fix any driver or other things in the guest 
that might be required for it to actually boot on ESXi.
