Are you using Virtualbox 4.0.x ?If so, that's your problem. You'll need to use either Virtualbox 3.2.12 or wait until the next release of Virtualbox 4

I've attached the dmesg of a GENERIC UP kernel booting on the same
machine. The GENERIC UP kernel works fine.
Let me know what I can do to help debug this.
