The Excel document is most likely protected (Tools->Protect->Workbook in Excel) without a password. In that case, Excel encrypts the file with a built-in fixed password, and therefore can decrypt it on loading without asking for the password. OOo 1.1.x simply cannot read any encrypted Excel files, regardless if the password is known. But as already stated, OOo 2.0 will do the job, in your case also without asking for a password of course. :-)
