You should have no problem converting an HTML file into an OpenOffice document (and conversely). You have just to open the file using OO Writer (and save it in the specified format). Some features will not be correctly converted. E.g. when I saved a spreadsheet from OO Calc into an HTML file, the "Notes" (popping up when the cursor comes over a field) were not converted. But I cannot tell you precisely what problems you could have. I cannot answer your second question either.
