Why does it do that? I see no consequences nor logic in, whether or not
a file has Notes embedded in it. It's an annoying popup and "seems"
meaningless but there must be some purpose to it?

Tools > Options > Secutiry > Security Options and warnings
The first set of properties:
"Warn if document contains recorded changes, versions, hidden informtion
or notes"
checkbox "when saving or sending"
Remove the tick mark.
