On my machine with fc12, kernel-2.6.34-rc3.fc12.i686, 
VirtualBox-3.1-3.1.6_59338_fedora12-1.i686
the command works just fine:

$ VBoxManage createvm --name "CentOS-5.4-i386" --register

(C) 2005-2010 Sun Microsystems, Inc.

Virtual machine 'CentOS-5.4-i386' is created and registered.

Best thing to do:

sudo service vboxdrv setup

and then retry your command.
