I suspect it has something to do with the virtual device being
presented by VMware compared to VirtualBox, and VMWare did change from
the old Intel 440BX to newer one (forgot what though).

What if you do the "sysprep" before doing P2V just to ensure that all
the device driver are using the generic ones, then modify it later when
it is launched in VirtualBox?
