You want to set base memory to 256.

The video memory size is actually how much of the host's physical RAM
should be allocated to serve as video memory if my understanding is
correct. So, if you set base memory to 256, and video memory to 12,
your guest will use up to 268 megs of the host's RAM, plus whatever
virtualbox itself uses to run of course.
