With \V you still have to escape \ and since you want to use a :g or 
:s command you would also have to escape /. 

Try something like this:

:let a=':%s#/\*(.*)\*/> #//\1#g'
:exe ':%s/\V' . escape(a,'/\') . "/test/g"
