When I try to connect to FTP site, just before (successful) ftp listing i
got "no lines in buffer" message, to proceed i need to click enter:

Then I want to change directory, and again, lot of errors... hitting enter
and everythings fine, folder changed:

I believe the line in the NetrwListSettings function is exe "keepalt
file ".fnameescape(fname)
so to understand this problem I need to know what the fname variable is
holding. That's probably your ftp site+path, which you've consistently
grayed out.
May I suggest looking at :help netrw-debug and sending me a copy of
the resulting debugging trace. Please feel free to elide the password,
but please don't elide the ftp site path. My email address is in that
help, somewhat obscured to prevent simple minded bots from extracting
the email address.
BTW, the latest netrw is v137b, which you can get from my website as:
http://mysite.verizon.net/astronaut/vim/index.html#NETRW.
