Actually no. You only need a password if you use a password to turn on
your phone. If not, you can just choose encrypted update in ITunes.

If you use ITunes it will ask you for yur password. Just type it on the
phone.

One thing I can think of with respect to your new phone and just
downloading the apps you want from the store is that, if you have a
lot
of
folders, you won't have those if you use this method. You have to redo
everything. How good are you at that?
