To use your existing Subversion repositories with VisualSVN Server you
should import them using Repositories | All Tasks | Import Existing
Repository... command in VisualSVN Server Manager or simply copy
repository to the C:\Repositories folder.

No, it will not. To upgrade please select "All Tasks->Upgrade
repositories format" in VisualSVN Server Manager context menu for
"Repositories" node. The upgrade operation is irreversible.
