Thank you very much 'Alex K. Angelopoulos' My problem is very much fixed
as it seems.  It turns out that disabling Soundblaster's Audio
Headquarters did the trick nicely.  To anyone that may have this
problem, or know anyone who does please attempt to decrypt the mess of
messages below.  Don't hesitate to email me personally for question on
this matter as I will be off the list-serve for a while (but I'll drop
in soon and often).  Thanks all (alex especially)

I'm not sure what winrouter is and will try disabling it and see if it
fixes it.  However, 'weather' (weather bug) and nwiz (unknown) are both
running on the other XP box that doesn't lock up, so I will deduce that
those aren't it.  What is OSA?  As far as taskswitch; that was included
with the XP plus! pack that is a silly little preview window that pops
up when you do an alt-tab.  I've tried to solely disable it with no
luck, I suppose I can do a selective startup or rename the file but
wouldn't that be a obnoxious fix? I will also try to selectively remove
qttask, fast, and Dri-Bat32. I'll see if it works.  Thanks much for the
help.
 
I've attempted to recreate our dialogue in order to repost it on the
list serv for others to help/benefit.

taskswitch (is implicated in some remote access problems)
fast (?)

Weather (this is known to lock some internet connections)
OSA (can produce side issues with processing speed - not likely to be a
key issue though)
 
 
The problem is that the startup group is the modern equivalent of the
old English commons which were everyone's property but no one's
responsibility.  If you aren't aware of the role of that concept in
economics, it is used as a classic example of a public good which is
abused to death - like littering in public parks.
 
One other thing.  I don't recall yopu exact problem since it isn't
included in the reply, but starting in app mode means that VNC will not
be available unless you are actually logged on to the system when you
try to connect.

Thanks for the help! I looked at my startups and I see nothing similar
to what you mentioned, I don't knowingly use and download accel's or
real products.  I'm not sure what media I may have installed in the
past.  I took a jpeg of my list that I have attached.  If you don't mind
taking a peak I'd really appreciate it.  Winroter is the only suspicious
one I see, and I don't remember installing that.  Thanks a lot Alex ;)

It sounds to me as though you have some Internet software which is
blocking the connection.  If you run msconfig on XP, you can see all of
the startup applications and probably find a couple which are causing
the problem; I would be suspicious of any media software, including all
of the Real Networks stuff (especially RealDownload).  Try disabling
those, doing a reboot, and see if you can connect.
