Let me clarify the "going back later on and reinstalling to import WUG data".  According to the release notes, it will take completely uninstalling WhatsUp Pro first:

Upgrading from WhatsUp Gold
Upgrading from WhatsUp Gold to WhatsUp Professional must take place during the initial install of WhatsUp Professional. If WhatsUp Professional is installed first, it must be completely uninstalled before attempting to upgrade.

Kushal,
by design the upgrade functionality is part of the install itself.  So WUG would have to be present on the machine at the time of install.  You can always go back and run the install again if you choose to import the WUG files later on.
