A few extra points:

I suggest you install XP into a new bootable partition - clean, or a copy of
your old OS
that way you can revert to the old setup if you get any problems
 ( My Tosh  laptop update from ME was happy to use the modem during the
update, but not after the update! ??)

You do, I hope have a SP2 CD

Have the comms devices powered up and connected to the PC, but not to the
outside world during the install, so they are recognised and get drivers
installed but your system cannot be accessed from the outside world.
.
make sure SP2 is installed the AV and firewall are active before you connect
to activate etc,
( one install I did pre SP2 got Trojan'd in the first few seconds It took to
activate the firewall after enabling the comms during the initial OS boot)

Initially, set your email to not remove items from the ISP server (so you
can use the old setup to get your email if the new one fails)

Don't forget to setup a password on your admin account, and to setup a
normal user account

Going to use NTFS?

I would suggest leaving the ME partition as a data/applications software
partition and keeping the new XP one as just OS and utility
Do you have partitionmagic or a similar facility

Using DVD? - make sure you have enough work space on the OS partition to
hold a complete DVD image

Or, depending on the space you have on your system - have you considered
getting another hard drive for the new system - if possible install it on a
separate IDE cable/channel
